PUBLIC OFFER
for the conclusion of a goods supply agreement
General Provisions This Public Offer contains the terms for concluding a Goods Supply Agreement (hereinafter referred to as the "Goods Supply Agreement" and/or the "Agreement").
This Offer is recognized as an invitation addressed to one or more specific persons, sufficiently specific and expressing the intention of the person making the offer to consider themselves bound by the Agreement with the recipient who will accept the offer.
The actions specified in this Offer confirm both Parties’ consent to conclude the Goods Supply Agreement on the terms, procedure, and scope outlined in this Offer.
The following text of the Public Offer is an official public proposal from the Supplier, addressed to interested persons to conclude a Goods Supply Agreement in accordance with the provisions of paragraph 2, Article 437 of the Civil Code of the Russian Federation.
The Goods Supply Agreement is considered concluded and comes into effect from the moment the Parties perform the actions provided in this Offer, which signify unconditional and full acceptance of all the terms of this Offer without any exceptions or limitations under the terms of accession.
Terms and Definitions:
  • Agreement – the text of this Offer with Appendices, which are an integral part of this Offer, accepted by the Buyer by performing the actions specified in this Offer.
  • Conclusive Actions – actions that express acceptance of the offer by the counterparty to conclude, amend, or terminate the Agreement. These actions include full or partial performance of the conditions proposed by the counterparty.
  • Supplier’s Website on the Internet – a combination of software for electronic computers and other information contained in an information system accessible via the Internet at the domain name and address: https://reckful.ru/.
  • Parties to the Agreement (Parties) – the Supplier and the Buyer.
  • Goods – any items compliant with the rules provided in Article 129 of the Civil Code of the Russian Federation.
Subject of the Agreement Under this Agreement, the Supplier agrees to supply the Buyer with manufactured or procured goods (hereinafter – Goods) in the quantity, assortment, timeframes, and conditions specified in the Buyer's application, in accordance with the information provided by the Supplier regarding the Goods or established on the Supplier's website at https://reckful.ru/. The Buyer agrees to accept and pay for the Goods.
Acceptance of this Offer is expressed by the performance of conclusive actions, in particular:
  • actions related to the registration of an account on the Supplier’s Website if account registration is required;
  • submission and completion of an order application for Goods;
  • provision of necessary information for the conclusion of the Agreement by phone, email, or other means indicated on the Supplier’s Website, including the Supplier’s callback at the Buyer's request;
  • payment for the Goods by the Buyer. This list is not exhaustive; other actions may also indicate the acceptance of the offer by the counterparty.
  • The quality of the Goods must comply with the requirements of the legislation of the Russian Federation.
  • The Supplier guarantees that the Goods are not disputed, not under arrest, not subject to pledge, are not encumbered by third-party rights, and do not violate the rights of third parties.

Rights and Obligations of the Parties
Supplier’s Obligations:

  • Deliver the Goods in a timely manner;
  • Transfer the Goods to the Buyer in packaging suitable for goods of this type and free from third-party rights;
  • Arrange delivery of the Goods to the Buyer;
  • Provide the Buyer with all necessary information in accordance with the requirements of the applicable legislation of the Russian Federation and this Offer;
  • The Supplier has the right to demand payment for the Goods and their delivery in the manner and under the terms provided in the Agreement;
  • Refuse to conclude the Agreement under this Offer if the Buyer behaves unfairly, including cases such as:
  • more than two (2) returns of Goods of appropriate quality within a year;
  • provision of knowingly false personal information;
  • return of damaged or used Goods by the Buyer;
  • other cases of unfair behavior indicating that the Buyer concluded the Agreement for the purpose of abusing rights, rather than with the ordinary economic goal of purchasing the Goods.
Buyer’s Obligations:
  • Pay for and accept the Goods;
  • Ensure timely acceptance of the Goods from the Supplier;
  • The Buyer has the right to demand delivery of the Goods under the terms provided in the Agreement;
  • Request all necessary information in accordance with the requirements of the applicable legislation of the Russian Federation and this Offer;
  • Refuse the Goods on the grounds provided in the Agreement and the current legislation of the Russian Federation;
  • Provide the Supplier with accurate information necessary for the proper execution of the Agreement;
  • Accept and pay for the Goods in accordance with the terms of the Agreement;
  • The Buyer guarantees that all conditions of the Agreement are understood; the Buyer accepts the terms without reservation and in full.
Price and Payment Procedure
The price and payment procedure for the Goods are determined based on the Supplier’s information when the Buyer submits an order, or according to the information provided on the Supplier’s website: https://reckful.ru/.
All payments under the Agreement are made via non-cash methods.
Quality and Return (Replacement) of Goods
If the Buyer receives Goods of inadequate quality, they may submit a claim to the Supplier and demand the remedies provided in Article 475 of the Civil Code of the Russian Federation, except in cases where the Supplier, upon receiving notification from the Buyer about the defects, promptly replaces the Goods with Goods of proper quality.
If the Buyer resells the Goods received, they have the right to demand replacement of any returned defective Goods within a reasonable time, unless otherwise provided in the supply agreement.
Confidentiality and Security
In executing this Agreement, the Parties ensure the confidentiality and security of personal data in accordance with the current version of the Federal Law No. 152-FZ "On Personal Data" and Federal Law No. 149-FZ "On Information, Information Technology, and Information Protection," both dated July 27, 2006.
The Parties undertake to maintain the confidentiality of information received during the execution of this Agreement and take all possible measures to protect such information from disclosure.
Confidential information refers to any information exchanged between the Supplier and the Buyer in the process of implementing the Agreement that is subject to protection, with the exceptions listed below.
Such information may be contained in the Supplier’s internal regulations, agreements, letters, reports, analytical materials, research results, diagrams, graphs, specifications, and other documents in both paper and electronic form.
